Useme Plus Promotional Sale Program Terms and Conditions

Article 1. Definitions

The terms used in these terms and conditions ("Terms and Conditions") have the following meanings:

  1. Organizer / Useme – Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, entered under Tax Identification Number (NIP): 8992744965, registered in the Register of Entrepreneurs maintained by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register under KRS number: 0000467478; email address: info@useme.com.
  2. Promotional Sale – an initiative organized and run under the rules set out in these Terms and Conditions, aimed at promoting, making more attractive, and increasing sales of the Organizer's services.
  3. Useme Platform / Platform – an open online transaction platform operated by the Organizer. It is available at the domain useme.com and is used for publishing listings, concluding agreements for the performance of services described on the Platform and in listings, and communication between the parties to a transaction.
  4. Program Participant / Participant – a User of the Useme Platform (within the meaning of the Platform Terms and Conditions) who has met the formal requirements for participation in the Program.
  5. Useme Plus Program / Program – an electronically supplied service provided by the Organizer within the meaning of Article 2(4) and Article 8 of the Polish Act of 18 July 2002 on the Provision of Services by Electronic Means, consisting of giving Participants access to selected functionalities of the Platform on preferential terms and enabling them to use additional services in the form of Perks and Benefits.
  6. Participation Fee – the monthly remuneration due to the Organizer for participation in the Useme Plus Program. Depending on the period and the settlement method chosen by the Participant, the Participation Fee may be paid under a model of automatic recurring payments (Subscription Fee) or in the manner set out for the Transition Period in the Useme Plus Program Terms and Conditions. Effective settlement of the Participation Fee (in any permitted form) constitutes a purchase of the Organizer's own service and is the basis for granting a Reward (Benefits) under this Promotional Sale.
  7. Rewards – services made available to Participants who have met the formal conditions of participation in the Useme Plus Program, as well as the additional condition of participation consisting of settling the Participation Fee for the Useme Plus Program. Rewards are made available to Participants by the Organizer, but are provided by external service providers, in particular Benefit Systems S.A., under the "MyBenefit" and "Multisport" programs. The Benefits constitute rewards associated with the promotional sale of services provided by the Organizer.
  8. Agreement for Participation in the Program – an agreement concluded between the User and the Organizer on the terms set out in the Useme Plus Program Terms and Conditions. Its subject is participation in the Program.
  9. Period of Access to the Perks and Benefits – the period covered by the Participation Fee. During this period, the Program Participant has access to the Perks and Benefits.
  10. Useme Terms and Conditions – the general terms and conditions that set out the rules under which Useme provides paid electronic services to Users. Useme's services consist of connecting Users (Employers and Freelancers) and settling transactions carried out between them. The Terms and Conditions also set out the rules for using the Useme Platform and for providing other additional services. They are available at https://help.useme.com/en/useme-terms-and-conditions.
  11. Useme Plus Program Terms and Conditions – the terms and conditions that set out the conditions for joining and participating in the Useme Plus Program. They are available at https://help.useme.com/en/useme-plus-terms-and-conditions.

Article 2. General Provisions

  1. These Terms and Conditions set out the rules and conditions of the Promotional Sale run as part of the Useme Plus Program, under which Rewards are granted to Participants who meet the conditions set out in these Terms and Conditions and the Useme Plus Program Terms and Conditions.
  2. The Promotional Sale is run in the territory of the Republic of Poland through the Useme Platform.
  3. The purpose of the Promotional Sale is to promote, make more attractive, and increase sales of the services provided by the Organizer under the Useme Terms and Conditions and the Useme Plus Program Terms and Conditions.
  4. The Rewards granted to Participants are funded from Useme's own resources.
  5. The Rewards constitute rewards associated with the promotional sale of services provided by the Organizer.
  6. The Organizer does not grant Participants Rewards in connection with any non-agricultural business activity they carry out that would constitute income from that activity.
  7. The granting of Rewards (including points in the MyBenefit system) takes place as part of the Promotional Sale organized by the Organizer and is directly linked to the purchase of the Organizer's own paid services provided under the Useme Plus Program. The value of the Reward granted to a Participant in a given month does not exceed the amount specified in Article 21(1)(68) of the Polish Act of 26 July 1991 on Personal Income Tax, and therefore constitutes income exempt from personal income tax for the Participant.

Article 3. Conditions of Participation and Rules for Granting Rewards

  1. Participants who meet the additional conditions of participation within the meaning of the Useme Plus Program Terms and Conditions, i.e. who have effectively settled the Participation Fee for the Program, may take part in the Promotional Sale.
  2. Once these conditions are met, the Organizer sends the Participant confirmation that the fee has been settled. Each time the additional condition of participation in the Program is met, this is equivalent to gaining access to the perks and benefits (access to the "MultiSport" and "MyBenefit" services) in accordance with the Useme Plus Program Terms and Conditions, and to being granted a Reward in the form of points on the MyBenefit platform, with a value of PLN 138.00 (in words: one hundred and thirty-eight zloty).
  3. Details regarding when access actually begins and how long it lasts are set out in Article 9 of the Useme Plus Program Terms and Conditions.
  4. The funds referred to in paragraph 4 above will appear in the Participant's account on the "MyBenefit" platform on the 1st day of each month following the month in which the Participant met all the conditions of participation in the Program, including the additional condition of participation referred to in Article 4 of the Useme Plus Program Terms and Conditions.
  5. The Participant can independently decide which services offered by the Benefit provider the funds should be spent on, although the ability to use the awarded funds only arises once the Participant has activated their account in the MyBenefit system.
  6. The Participant is aware that using the Benefits through the Benefit providers' online platform may require concluding a separate service agreement with the provider of the specific benefit.
  7. The Participant is aware that starting to use the Reward may require the Participant to take additional steps, such as activating and setting up a user account through the Benefit provider's online platform, or ordering a "MultiSport" card directly from the Benefit provider. The Organizer is not liable for any delays in using the benefits resulting from the need to meet additional conditions or take additional steps on the Participant's part.
  8. The detailed scope and terms of use of individual benefits can be found in the Benefit providers' terms of service.
  9. The Organizer is not liable for the availability, quality, or scope of the services provided as benefits by external providers. Liability for the performance of these services rests solely with the Benefit providers, in accordance with the rules set out in their terms of service. This does not apply to obligations arising from the law.
  10. Access to the benefits may be subject to additional conditions or time-limited. The current range and availability of the benefits is presented on the Benefit provider's website.
  11. The Organizer reserves the right to change the form and amount of the Reward, as well as the scope of the benefits offered under the Program, in particular in the event of:
    1. a change in the terms of cooperation with external partners (Benefit providers);
    2. the end of cooperation with a given partner;
    3. the introduction of new services or benefits in place of existing ones;
    4.  changes to the terms of the invoice-issuing service provided through the Useme Platform. 
  12. The Organizer will inform Participants of any changes to these Terms and Conditions in accordance with the rules set out in the Useme Plus Program Terms and Conditions.
  13. The Participant is not entitled to transfer rights to the Rewards to third parties, except in cases expressly indicated in the terms of service of external providers.
  14. The Participant is not entitled to demand that the Reward be exchanged for a monetary equivalent.
  15. The right to receive the Reward arises each time the additional condition of participation in the Program is met.

Article 4. Final Provisions

  1. The provisions of these Terms and Conditions supplement the Useme Plus Program Terms and Conditions, and in the event of any discrepancy or conflict, the provisions of the Useme Plus Program Terms and Conditions shall prevail.
  2. In matters not regulated by these Terms and Conditions, the provisions of the Useme Plus Program Terms and Conditions apply directly.
  3. In the event of any discrepancies between the language versions of the Terms and Conditions, the Polish language version of the Terms and Conditions shall prevail in interpretation and in the resolution of any potential disputes.
