Article 1. Definitions
- Capitalized terms not otherwise defined in this document have the meaning given to them in the Useme Terms and Conditions.
- Useme – Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, Poland, Tax ID (NIP): 8992744965, entered in the Register of Entrepreneurs kept by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register (KRS), under number: 0000467478; e-mail: info@useme.com;
- Useme Platform / Platform – an open online transaction platform operated by Useme, available at useme.com, used to publish job posts, conclude agreements for the services described on the Platform and in job posts, enable communication between the parties to a transaction, and settle jobs carried out between Platform Users.
- Useme Comfort Subscription / Subscription – a continuous, paid electronic service under which the User is granted, in exchange for a recurring Subscription Fee, access to a package of benefits (Perks and Benefits) and the possibility of being awarded Rewards under the promotional sale, on the terms and for the period set out in these Terms and Conditions.
- Subscription Fee – the fee for the services provided by Useme under the Useme Comfort Subscription, collected via the registered Payment Instrument, on the terms set out in these Terms and Conditions.
- Payment Instrument – a payment card (debit or credit) that supports recurring payments, or the BLIK service in recurring payment mode, linked to the Subscriber's Account via the Payment Provider.
- Payment Provider – Autopay S.A., with its registered office in Sopot (ul. Powstańców Warszawy 6, 81-718 Sopot), entered in the register of national payment institutions kept by the Polish Financial Supervision Authority (KNF) under number IP17/2013.
- Subscription Cycle – a one-month billing period for which the Subscription Fee is collected.
- Perks and Benefits – benefits designated by Useme, access to which is granted to Users with an active Useme Comfort Subscription, subject to the conditions set out in these Terms and Conditions.
- User with an active Useme Comfort Subscription / Subscriber – a registered User of the Useme Platform holding an active Useme Comfort Subscription within the meaning of these Terms and Conditions.
Article 2. Subscription Activation and Payment Methods
- The Subscription can be activated by any User registered on the Useme Platform who is a Freelancer within the meaning of the Useme Terms and Conditions and who has tax residency in Poland.
- To activate the Useme Comfort Subscription, the User goes to the dedicated "Plans" tab in the Useme Platform panel and then:
- completes the subscription form;
- reviews and accepts a summary of the terms (subscription start date, amount of the first fee, dates on which subsequent fees will be collected, any required statements and consents, and any other required elements);
- is redirected to the Payment Provider’s secure API interface, where the Payment Instrument is registered (by entering card details or authorizing recurring BLIK).
- The Useme Comfort Subscription is activated on the date the Subscription Fee is successfully settled (collected), on the terms set out in Article 3.
- After successful activation, the Subscriber receives an e-mail confirming activation of the Useme Comfort Subscription.
- Payment Instrument data is stored and processed by the Payment Provider securely and in accordance with PCI-DSS standards. Useme stores only the tokenized payment identifier provided by the Payment Provider, which the Subscriber accepts.
Article 3. Subscription Fee, Duration, and Collection of Subscription Fees
- The Subscription is concluded for an indefinite period and renews automatically for successive one-month Subscription Cycles.
- The Subscription Fee under the Useme Comfort Subscription is PLN 349 gross per Subscription Cycle.
- The Subscription Fee is settled by collecting funds from the Subscriber's bank account using the registered Payment Instrument.
- The Subscription Fee for the first Subscription Cycle is collected when the Payment Instrument is registered. Fees for later Cycles are collected automatically at the start of each following Subscription Cycle.
- The Subscription Fee for each subsequent Cycle is collected on the same day of the month as the first payment, except where:
- The Subscription is concluded for an indefinite period and renews automatically for successive one-month Subscription Cycles.
- The Subscription Fee under the Useme Comfort Subscription is PLN 349 gross per Subscription Cycle.
- The Subscription Fee is settled by collecting funds from the Subscriber's bank account using the registered Payment Instrument.
- The Subscription Fee for the first Subscription Cycle is collected when the Payment Instrument is registered. Fees for later Cycles are collected automatically at the start of each following Subscription Cycle.
- The Subscription Fee for each subsequent Cycle is collected on the same day of the month as the first payment, except where:
- given month is shorter and has no such day (e.g., the 29th, 30th, or 31st). In that case, the Fee is collected on the last day of that month (e.g., a Subscription activated March 31 renews automatically April 30, so the Fee is collected April 30).
- the first collection attempt fails. In that case, further attempts follow the rules in Article 5.
- Payment for each Subscription Cycle is documented by a VAT invoice issued by Useme and delivered via the National e-Invoice System (KSeF), unless the law provides otherwise.
- The date on which the Subscription Fee is deemed successfully settled is the date the payment is credited to Useme's bank account. Subscription payments do not apply retroactively: they do not recalculate or modify the costs or commissions for pro forma invoices issued on the Platform before the payment is credited to Useme's account.
Article 4. Access to Perks and Benefits; Awarding of Rewards under the promotional sale
- Under an active Subscription, and provided the Subscription Fee is successfully settled as set out in this Article, Useme grants the Subscriber access to the following
Perks:
- the ability to issue an unlimited number of invoices through the Useme Platform, free of commission;
- access to additional educational, training, and promotional materials made available by Useme through the Platform.
- the ability to issue an unlimited number of invoices through the Useme Platform, free of commission;
- In addition, a Subscriber who successfully settles the Subscription Fee in each of 2 (two) consecutive calendar months (maintaining an uninterrupted Subscription) gains access to the following:
Benefits:- access to the "MultiSport" service, provided by Benefit Systems S.A. and MultiSport Partners;
- access to the system for purchasing or ordering services, vouchers, or subscription packages under the "MyBenefit" service provided by Benefit Systems S.A.
- A Subscriber who meets the additional condition in paragraph 2 above, i.e., successfully settles the Subscription Fee in 2 (two) consecutive calendar months (maintaining an uninterrupted Subscription), will also be awarded a Reward in the form of points on the MyBenefit platform, under the promotional sale for the Useme Comfort Subscription.
- The amount of the Reward depends on maintaining uninterrupted settlement of the Subscription and may be 20, 30, 40, or 50 MyBenefit points. Detailed rules on the amount and conditions for awarding Rewards are set out in the Useme Comfort Promotional Sale Terms and Conditions.
- Access to the Benefits and the Reward (as points on the MyBenefit account) is granted on the 1st day of the calendar month following the month in which the additional condition in paragraphs 2 and 3 above was met.
- The Reward is awarded under the promotional sale organized by Useme in connection with the Subscriber's purchase of Useme's own services. The purpose of the scheme is to promote, enhance the appeal of, and increase sales of Useme's services.
- Rewards are funded from Useme's own resources and are awarded only where the additional condition is met on the terms set out in these Terms and Conditions and the Useme Comfort Promotional Sale Terms and Condition.. Rewards are not awarded in connection with a Subscriber's non-agricultural business activity and do not constitute income from that activity.
- The Subscriber may decide independently which of the Benefit provider's services the awarded funds are spent on, though the funds can only be used once the Subscriber has activated a user account with that Benefit provider.
- The Subscriber acknowledges that using Reward funds via a Benefit provider's online platform may require entering into a separate service agreement with that provider.
- The Subscriber acknowledges that using certain Benefits may require additional steps, such as activating a user account on the Benefit provider's platform or ordering a "MultiSport" card directly from the provider. Useme is not liable for delays resulting from such additional requirements or steps on the Subscriber's part.
- The detailed scope and terms of use of individual Benefits are set out in the Benefit providers' own terms and conditions.
- Useme is not liable for the availability, quality, or scope of services provided as Benefits by external providers. Liability for these services rests solely with the Benefit providers, under their own terms of service, except for obligations arising from law.
- Access to Benefits may be subject to additional conditions set by the Benefit provider, or may be time-limited. The current range and availability of Benefits is shown on the relevant provider's website.
- The Subscriber may not transfer rights to the Perks and Benefits to third parties, except where expressly permitted under an external provider's own terms and conditions (with respect to Benefits only).
Article 5. Errors in Collecting the Subscription Fee and Expiry of the Subscription
- If the Subscription Fee cannot be collected on the scheduled date (e.g., insufficient funds, an expired card, or a bank decline), the Subscription is suspended from the first failed attempt.
- During suspension, the Subscriber loses access to the Perks and Benefits. Fees and commissions for any activity on the Platform during suspension are charged as standard, i.e., under the commission-based model set out in the Useme Platform Price List.
- To fix the payment error and keep the Subscription running, Useme will make 2 (two) further collection attempts within 48 hours of the first attempt for the given Cycle. At the Subscriber's request, Useme may also manually trigger a charge attempt within that same 48-hour window.
- If any later attempt (automatic or manual) succeeds, the Subscription is automatically reactivated for the next Cycle, calculated from the date of the first attempt (e.g., a Subscription activated March 31: the April 30 collection fails, a further attempt on May 1 succeeds, the Subscription is reactivated May 1, and the next Cycle's payment is collected automatically May 31).
- If, within 48 hours of the first failed attempt, none of Useme's attempts succeed, the Subscription expires on the last day of the paid Cycle. Expiry for non-payment is equivalent to termination of the Subscription Agreement and results in loss of access to the Benefits and Perks. It does not automatically terminate the agreement for use of the Useme Platform.
- Removing the registered Payment Instrument from the subscription management section causes the Subscription to expire at the end of the paid Cycle, unless a new Payment Instrument is set up before the Cycle ends.
- The Subscriber acknowledges that if the Subscription Fee cannot be collected, including through the fault of Useme or the Payment Provider, access to the Perks and Benefits may be delayed.
Article 6. Cancelling the Subscription and the Right of Withdrawal
- The Subscriber may cancel the Subscription at any time, from the user panel: "Plans" > "Manage subscription" > "Cancel subscription."
- After cancelling, the Subscriber keeps access to the Perks and Benefits until the end of the paid Cycle. After that, the Subscription and access to the Perks and Benefits expire, equivalent to termination of the Subscription Agreement. The Fee for the next Cycle will not be collected.
- Useme reserves the right to withdraw the Useme Comfort Subscription from its offer entirely, or to discontinue the service, for valid reasons including:
- strategic or technological changes to Useme's business;
- economic unprofitability or a significant rise in the cost of maintaining the service;
- a change in the law, or a decision by a competent authority or court, imposing obligations on Useme or making it impossible to provide the service in its current form.
- Useme will notify Subscribers of a decision to discontinue the service at least 14 (fourteen) days in advance, by e-mail to the address on the User's Account and by a notice in the Platform panel.
- As of the date given as the end-of-service date, automatic renewal is disabled for all Subscribers and no new Fees are collected.
- Subscriptions active when the withdrawal decision is announced expire on the last day of the Cycle for which the Fee was successfully collected before the service end date. Discontinuation does not create any obligation for the User to pay additional fees.
- The Subscription is a separate agreement for digital services. A Subscriber who meets the definition of a consumer under Article 22 of the Polish Civil Code may withdraw from the Subscription agreement without giving a reason within 14 days of its conclusion, i.e., from the date the Subscription is activated.
- Withdrawal takes immediate effect: access to the Perks and Benefits is suspended and further automatic charges to the Payment Instrument stop.
- Because Useme Comfort services begin immediately after the Fee is settled, a Subscriber who withdraws after the Fee for a given Cycle has been collected may request a refund of the Fee, reduced by the value of services already provided up to the time the withdrawal notice is received.
Article 7. Payment Processing
- Recurring payments are processed by an external, licensed Payment Provider, Autopay S.A., with its registered office in Sopot (ul. Powstańców Warszawy 6, 81-718 Sopot), entered in the register of national payment institutions kept by the KNF under number IP17/2013.
- To enable recurring payments, the first subscription transaction (or saving a payment method) activates recurring payment with the Payment Provider:
- In case of the card payments – the User enters card details on the Payment Provider’s secure page; the Operator creates a reference to the saved card (a recurring payment identifier), and Useme receives only masked, preview-only card data.
- In case of the BLIK payments – the User authorizes recurring BLIK via the Payment Provider (e.g., BLIK code or authorization in a banking app); Useme receives a recurring payment identifier and a banking app label used to identify the payment method.
- Useme does not collect, process, or store full payment card numbers (PAN) or verification codes (CVV/CVC) in its systems. All sensitive card data is entered directly on the Payment Provider’s secure page.
- Useme stores only the necessary technical identifiers (an encrypted recurring payment identifier from the Payment Provider), masked preview data for the payment method (e.g., last card digits, card network, expiry date, and, for BLIK, the banking app label), and necessary transaction data (amount, currency, payment status, order identifier, e-mail address used at payment). Full payment data is processed by the Payment Provider under its own terms and privacy policy.
- Removing a defined Payment Instrument (card/BLIK) from the user profile, or cancelling the Subscription, deactivates the payment token and blocks further recurring charges. This does not affect the obligation to retain transaction records under tax law.
Article 8. Personal Data
- The controller of personal data processed in connection with the Subscription Agreement is Useme Sp. z o.o., with its registered office in Wrocław, ul. Świdnicka 12-16, 50-068 Wrocław.
- Personal data such as name, address, and e-mail address is processed by Useme to conclude and perform the Subscription Agreement, including collecting Fees, transferring data to the Payment Provider, managing the Subscription, issuing invoices, asserting or defending against claims, and complying with legal obligations, including tax law.
- Providing personal data is voluntary but is a necessary condition for concluding and performing the Subscription Agreement, and therefore for activating the Subscription.
- In connection with activation, Useme transfers Subscribers' personal data to the Payment Provider to perform the Subscription Agreement.
- The Payment Provider acts as an independent controller of personal data for the payment services it provides.
- Removing a defined Payment Instrument, or cancelling the Subscription, does not affect the obligation to retain transaction records under tax law.
- To let the Subscriber use the Benefits and receive the awarded Reward, Useme works with external partners, in particular the operator of the MyBenefit platform.
- Delivery of the Reward, or access to certain Benefits, happens by creating a Subscriber account with the external partner or by crediting that account with points.
- Providing the services in paragraphs 7 and 8 requires sharing with partners only the data needed to activate the service or award points (e.g., name, e-mail address).
- Every Subscriber has the right to access their data, correct it, have it erased, restrict its processing, port it, object to its processing, and lodge a complaint with the President of the Personal Data Protection Office (UODO).
- Detailed information on how Subscribers' personal data is processed, including data recipients and rights under GDPR, is set out in the Useme Privacy Policy.
Article 9. Complaints
- Subscribers may submit complaints about the operation of the Useme Comfort Subscription.
- Complaints about the Useme Comfort Subscription can be submitted to Useme under the procedure described in these Terms and Conditions.
- Complaints about services delivered by business partners under the Useme Comfort Subscription should go directly to those partners, under their own rules. Useme is not liable for how partners provide services or deliver goods, unless the law says otherwise.
- A complaint may be submitted in writing to Useme's registered office, or electronically to info@useme.com.
- A complaint should include the Subscriber's identifying details, a description of the event, and the request being made.
- Useme will review the complaint within 14 days of receiving it and will inform the Subscriber of its decision in the same form the complaint was submitted, unless the Subscriber asks for a different form of contact.
- If the Subscriber needs to provide additional information, the review period will be extended accordingly, and the Subscriber will be told.
Article 10. Changes to the Terms and Conditions and Subscription Terms
- Useme reserves the right to amend these Terms and Conditions and the terms of the Useme Comfort Subscription service, in whole or in part. This may include the rules for Subscription activation, access to the Perks and Benefits, their scope, and the amount of Benefits and Rewards awarded (under the promotional sale for Useme Comfort).
- The right to change the scope or amount of Perks, Benefits, or Rewards arises in particular where:
- the terms of cooperation with external partners (Benefit providers) change;
- cooperation with a given partner ends;
- new benefits are introduced in place of existing ones.
- Useme will notify Subscribers of any changes, including to these Terms and Conditions and/or the Useme Comfort Promotional Sale Terms and Conditions, at least 14 days before they take effect, by:
- publishing the amended Terms and Conditions on the Platform website (as a landing page), and
- sending notice of the change to the e-mail address on the Subscriber's account.
- Changes take effect after the period Useme specifies, which may not be shorter than 14 days from notification, except as described in paragraph 5.
- Useme may introduce a change on shorter notice than in paragraph 4 if it results from mandatory law or a decision by a competent authority.
- A Subscriber who does not accept the changes may cancel the Subscription at any time before they take effect, under Article 6.
- A Subscriber who does not cancel before the changes take effect, or who keeps using the Subscription afterward, is deemed to accept the changes.
Article 11. Out-of-Court Complaint and Claims Procedures
- Using out-of-court methods to handle complaints and claims is voluntary. This Article is informational and does not obligate the Subscriber to use them.
- The rules for out-of-court consumer dispute resolution, and businesses' obligations in that respect, are set out in the Act of September 23, 2016 on Out-of-Court Resolution of Consumer Disputes. The President of the Office of Competition and Consumer Protection (UOKiK) keeps a public register of entities authorized to run such proceedings.
- A Subscriber who is a consumer may, in particular:
- apply to a permanent amicable consumer court under Article 37 of the Act of December 15, 2000 on Trade Inspection. These courts are governed by the Minister of Justice's Regulation of July 6, 2017;
- apply to the relevant provincial Trade Inspection inspector to start out-of-court proceedings, under Article 36 of the same Act. Details are available from each Provincial Trade Inspectorate;
- get free help from a district or municipal consumer ombudsman, or a consumer-protection organization such as the Consumer Federation (Federacja Konsumentów) or the Polish Consumers Association (Stowarzyszenie Konsumentów Polskich) – see http://www.federacja-konsumentow.org.pl or call the UOKiK consumer helpline at 801 440 220 / 22 290 89 16.
- Detailed information on these options is available from district/municipal consumer ombudsmen, relevant consumer organizations, Provincial Trade Inspectorates, and UOKiK: https://uokik.gov.pl/pomoc-dla-konsumentow.
Article 12. Technical Requirements
To use the Useme Comfort Subscription, the Subscriber needs a system meeting these minimum requirements:
- internet access;
- a device that can enter and display electronic data;
- software able to read PDF, RTF, TXT, DOC, Java, JPEG, and AVI files;
- a browser: Internet Explorer 11.0+, Mozilla Firefox 57.0+, or Google Chrome 62.0+, with JavaScript and cookies enabled.
Article 13. Final Provisions
- These Terms and Conditions govern the detailed rules and technical mechanisms of the Useme Comfort Subscription. Use of the Useme Platform or other additional services is governed by the Useme Terms and Conditions or the relevant service's own terms. In case of a substantive conflict specific to the Useme Comfort Subscription, these Terms and Conditions prevail.
- The Useme Comfort Promotional Sale Terms and Conditions apply as a supplement to these Terms and Conditions, to the extent the Subscriber uses the Rewards they cover. Where they conflict on the terms for awarding Rewards, these Terms and Conditions prevail.
- These Terms and Conditions, and the legal relationships arising from an active Useme Comfort Subscription, are governed by Polish law.
- Disputes arising from these Terms and Conditions will be resolved by the competent common court under the Code of Civil Procedure.
- If any provision is found invalid or ineffective, this does not affect the rest. An invalid or ineffective provision is replaced by the applicable rules of generally binding law.
- These Terms and Conditions apply from the date they are published on the Useme Platform and remain in force, as worded, until revoked or amended.
