Article 1. Definitions

  1. Organizer / Administrator – Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, entered under Tax Identification Number (NIP): 8992744965. The company is registered in the Register of Entrepreneurs maintained by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register under KRS number: 0000467478. The company's email address is info@useme.com.
  2. Useme Platform / Platform – an open online transaction platform operated by the Administrator. It is available at the domain useme.com and is used for publishing listings, concluding agreements for the performance of services described on the Platform and in listings, and communication between the parties to a transaction.
  3. User / User of the Useme Platform – a person who has registered on the Platform and accepted the Platform Terms and Conditions. A User may be a natural person with full legal capacity, or one who has the consent of legal guardians or parents holding full parental authority. A User may also be a legal person or an organizational unit without legal personality.
  4. Program Participant / Participant – a User of the Useme Platform (within the meaning of the Platform Terms and Conditions) who has met the formal requirements for participation in the Program, set out in detail in Article 3(4) of these Terms and Conditions, and has received confirmation of joining the Program from the Organizer.
  5. Useme Plus Program / Program – an electronically supplied service provided by the Organizer within the meaning of Article 2(4) and Article 8 of the Polish Act of 18 July 2002 on the Provision of Services by Electronic Means, consisting of giving Participants access to selected functionalities of the Platform on preferential terms and enabling them to use additional services in the form of Perks and Benefits, as well as rewards. Participation in the Program takes place on the basis of an agreement for the provision of electronic services concluded between the Participant and the Organizer, entered into by accepting these Terms and Conditions. At the same time, participation in the Program and access to the Perks and Benefits is subject to meeting the additional conditions of participation set out in these Terms and Conditions.
  6. Participation Fee / Subscription Fee – the monthly remuneration that the Program Participant pays the Organizer for participation in the Program, under which they receive Perks and Benefits. The amount of the Participation Fee is set and announced by the Program Organizer on the Platform's website and in these Terms and Conditions, while the rules for charging this Fee are set out in the Useme Plus Subscription Terms and Conditions.
  7. Useme Plus Subscription / Subscription – a method of settling the Participation Fee consisting of the automatic, recurring collection of funds from the Payment Instrument indicated by the Participant (e.g. a payment card), in fixed (monthly) Subscription Cycles, until the Subscription expires or is cancelled by the Program Participant. The Subscription is a digital service and requires the conclusion of a separate agreement for the provision of digital services.
  8. Payment Instrument – a payment card (debit or credit) that supports recurring payments, or the BLIK service in a recurring payment model, linked to the Participant's Account through a payment service provider.
  9. Subscription Cycle – a one-month billing period that begins on the date the Participation Fee (Subscription Fee) is effectively settled. A Subscription Cycle may begin on any day of the calendar month.
  10. Transition Period – the period from 15 August to 30 September, during which special rules apply to the methods of settling the Participation Fee.
  11. Perks and Benefits – services made available to Participants who meet the additional conditions of participation in the Useme Plus Program. These are set out in detail in Article 8 and in the separate Useme Plus Promotional Sale Terms and Conditions, and comprise:
    1. Perks – the Organizer's own services offered directly by the Organizer, in particular functionalities, entitlements, or preferential terms for using the Platform;
    2. Benefits – non-wage benefits made available to Participants by the Organizer but provided by external service providers, in particular Benefit Systems S.A., under the "MyBenefit" and "Multisport" programs.
  12. Agreement for Participation in the Program – an agreement concluded between the User and the Organizer on the terms set out in these Terms and Conditions. Its subject is participation in the Program.
  13. Period of Access to the Perks and Benefits – the period covered by the Participation Fee. During this period, the Program Participant has access to the Perks and Benefits.
  14. Useme Terms and Conditions – the general terms and conditions that set out the rules under which Useme provides paid electronic services to Users. Useme's services consist of connecting Users (Employers and Freelancers) and settling transactions carried out between them. The Terms and Conditions also set out the rules for using the Useme Platform and for providing other additional services. They are available at https://help.useme.com/regulamin-serwisu-useme.
  15. Useme Plus Promotional Sale Terms and Conditions – a separate document setting out the rules and conditions of the promotional sale run as part of the Useme Plus Program, under which rewards are granted to Participants who meet the conditions set out in these Terms and Conditions and the Useme Plus Program Terms and Conditions.
  16. Account – an individual IT record on the Useme Platform for the benefit of the User. The Account is created upon the User's first successful login to the Platform. It enables full use of the Platform and the gathering of information about the User's activities on the Platform. The Account is protected by a unique User name (login) and password.
  17. Job – the scope of work or services to be performed, accepted by the Participant and the Employer and carried out through the Platform under a contract for specific work (umowa o dzieło) or a mandate agreement (umowa zlecenia).
  18. Job Settlement – the crediting of payment from the Employer to the Administrator's account. The Employer makes this payment to settle the VAT invoice or pro forma invoice issued through the Useme Platform in connection with the Participant's performance of the Job.

 

Article 2. General Provisions

  1. These Terms and Conditions set out the conditions for joining and participating in the Useme Plus Program, and the rules for the paid use of the Perks and Benefits offered by the Organizer to Users of the Platform.
  2. The Organizer of the Useme Plus Program is Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, entered under Tax Identification Number (NIP): 8992744965. The company is registered in the Register of Entrepreneurs maintained by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register under KRS number: 0000467478. The company's email address is info@useme.com.
  3. These Terms and Conditions constitute terms and conditions for the provision of services by electronic means within the meaning of Article 8 of the Polish Act of 18 July 2002 on the Provision of Services by Electronic Means, and are binding on all Program Participants.
  4. Before joining the Program, every User should read and accept these Terms and Conditions.
  5. The Program is run in the territory of Poland. It applies from the date these Terms and Conditions are published on the website until the Organizer ends the Program.
  6. All communication with the Program Participant regarding participation in the Program (including notices about its commencement, extension, or termination) takes place via:
    1. email messages sent to the email address linked to the User's Account on the Useme Platform;
    2. notifications in the user panel on the Useme Platform;
    3. other communication channels made available by the Organizer.
  7. If the User does not have access to the information for reasons attributable to the User, this does not affect the effectiveness of delivery of the notice.
  8. In matters not governed by these Terms and Conditions, the provisions of the Useme Terms and Conditions apply, available at https://help.useme.com/regulamin-serwisu-useme.

Article 3. Formal Requirements for Joining the Program

  1. A User may independently apply to join the Program.
  2. Submitting an application to join the Program does not yet mean full participation in the Program and does not grant access to the Perks and Benefits.
  3. Upon receiving an application to join the Program, the Organizer checks, within 3 business days, whether the User meets the formal requirements for participation described in paragraph 4 below.
  4. The User must meet the following formal requirements:
    1. has a User Account and a "Freelancer" profile on the Useme Platform;
    2. is of legal age and has full legal capacity;
    3. resides in the territory of Poland;
    4. has tax residency in Poland or a tax obligation in Poland;
    5. accepts these Program Terms and Conditions.

  5. Only Users who meet all the formal requirements may become Program Participants.
  6. Following positive verification, the User receives confirmation of joining the Program and becomes a Participant.
  7. Positive verification of the formal requirements and the User's acceptance of these Terms and Conditions also results in the conclusion of the Agreement for Participation in the Program.
  8. Participation in the Program is ongoing. Maintaining active Participant status requires continuously meeting all the formal requirements set out in paragraph 4 above.
  9. A Participant who fails to meet any of the formal requirements after joining the Program loses their participation in the Program at the end of the calendar month in which they stopped meeting those requirements.

Article 4. Additional Condition of Participation and Access to the Perks and Benefits

  1. Meeting the formal requirements for participation in the Program set out in Article 3(4) does not automatically grant access to the Perks and Benefits set out in Article 8 of these Terms and Conditions, nor does it activate them.
  2. Access to the Perks and Benefits can only be granted once the additional condition of participation, consisting of settling the Participation Fee, has been met.
  3. The way the Participation Fee is settled depends on the period in which the settlement takes place:
    1. During the Transition Period (from 31 August to 30 September 2026) – the Participation Fee can be effectively settled using one of the three methods set out in Article 7 of these Terms and Conditions.
    2. From 1 October 2026 – the subscription model (Subscription Fee) becomes the only available way to settle the Participation Fee, on the terms set out in the Useme Plus Subscription Terms and Conditions.

  4. Settling the Participation Fee using any of the methods permitted in a given period is the sole and direct basis for granting the Participant access to the Perks and Benefits as well as for issuing a reward under the Promotional Sale.
  5. Access to the Perks and Benefits is granted for a maximum period of one calendar month and can be extended for further monthly periods. The detailed conditions and rules for extending access to the Perks and Benefits are set out in Article 9.
  6. Participation in the Program is personal and cannot be transferred to other persons, including other Users of the Platform, without the Organizer's prior written consent.
  7. A User who has not settled the Participation Fee for a given month loses access to the Perks and Benefits no later than the end of the calendar month for which the Participation Fee was last effectively settled. At the same time, if the Participant subsequently settles the Participation Fee in later calendar months, they can regain access to the Perks and Benefits, provided they still hold active participation status in the Program (based on the formal requirements).

Article 5. Participant's Obligations

  1. The Program Participant is required to:
    1. comply with the provisions of the Useme Terms and Conditions and these Terms and Conditions, and exercise due diligence in performing the obligations set out in them;
    2. ensure that the statements, data, and information they provide to the Organizer or enter on the Useme Platform are current, complete, and accurate;
    3. cooperate with the Organizer if verification of the formal requirements, the additional conditions of participation in the Program, or the requirements for activating certain Perks or Benefits is necessary.
    4. promptly inform the Organizer if they stop meeting any of the formal requirements for participation in the Program;
    5. comply with the time limits set out in these Terms and Conditions.
  2. If a Participant uses specific third-party Benefits available under the Program, provided by entities other than the Organizer, they are additionally required to:
    1. comply with the terms and rules for using the Benefits offered under the Program and use them for their intended purpose, in accordance with these Terms and Conditions and the terms of service published by the providers of those Benefits. Accordingly, the User is also aware that, before starting to use the Benefits, they may need to accept additional terms of service from the providers of those Benefits;
    2. not use the Benefits in a way that is contrary to the purpose of the Program or that breaches the rules of cooperation with the Organizer's partners. This applies in particular to unauthorized sharing of the Benefits with third parties;
    3. not take any action that could result in the termination or restriction of the cooperation between the Organizer and the Program's partners;
    4. return items related to the use of the Benefits (e.g. physical cards) after losing access to the Benefits or ending their participation in the Program, if required by the provider of the Benefit.

  3. The Participant acknowledges that if they fail to meet the formal requirements set out in Article 3(4), they will lose their status as a Program Participant, and consequently access to the Perks and Benefits, at the end of the calendar month.
  4. The Participant acknowledges that if they fail to meet the additional condition of participation referred to in Article 4, they will lose access to the Perks and Benefits at the end of the calendar month.
  5. The Participant acknowledges that they may be excluded from the Program and lose access to the Perks and Benefits, and their Account on the Useme Platform may be blocked, in the event of a serious breach of these Terms and Conditions, the Useme Terms and Conditions, applicable law, or the rules of cooperation, interests, or reputation of the Organizer or its partners.
  6. The Participant undertakes to promptly inform the Organizer of any changes affecting their participation in the Program. This applies in particular to a change of residential address or tax residency.
  7. The Participant is liable for any acts or omissions in connection with their use of the Program that breach these Terms and Conditions or applicable law.
  8. The Participant undertakes to read these Terms and Conditions and any updates published by the Organizer, and to comply with them throughout their participation in the Program.
  9. If the Subscription is active, the Participant undertakes to independently monitor the validity of their payment card to ensure continuity of the Subscription.
  10. Providing unlawful content is prohibited for the Participant.

Article 6. Participation Fee and Settlement Rules

  1. Subject to Article 7 of these Terms and Conditions (Transition Period), the Participation Fee is settled under the subscription model and amounts to PLN 499 gross per Subscription Cycle.
  2. The Subscription is concluded for an indefinite period and renews automatically for successive one-month Subscription Cycles until cancelled by the Participant. The Participant is entitled to cancel the Subscription at any time, with effect at the end of the current Subscription Cycle, on the terms set out in the Useme Plus Subscription Terms and Conditions.
  3. Settlement of the Participation Fee (Subscription Fee) consists of the automatic, recurring collection of funds from the Participant's bank account using the Payment Instrument registered by the Participant.
  4. The detailed rules governing the Subscription, including the rules for activating the Subscription, registering and authorizing the Payment Instrument, transaction security rules, and the terms of cancellation, are set out in the Useme Plus Subscription Terms and Conditions.
  5. The date on which the full amount of the Fee is credited to the Organizer's bank account is deemed the date of effective settlement of the Participation Fee.
  6. After each successful charge of the Participation Fee, the Participant will receive from the Organizer a confirmation of the transaction and the relevant accounting document (VAT invoice), sent electronically.
  7. If the Subscription Fee cannot be charged for reasons attributable to the Participant (e.g. insufficient funds), the Organizer will make further attempts to collect the funds in accordance with the procedure set out in the Useme Plus Subscription Terms and Conditions. If none of these attempts succeeds, the Subscription is immediately suspended, and the Participant's access to the Perks and Benefits under the Program expires at the end of the last Subscription Cycle for which the fee was effectively paid. After that, the Subscription automatically expires, which is equivalent to termination of the subscription agreement. Expiry of the Subscription does not automatically terminate the Agreement for Participation in the Useme Plus Program.

Article 7. Transition Period

  1. The Transition Period runs from 31 August 2026 to 30 September 2026.
  2. During the Transition Period, the Participation Fee can be settled in one of the following ways:
    1. Settlement via the Platform: the Organizer automatically deducts a fee of PLN 499 (equivalent in other currencies: USD 149 / EUR 129 / GBP 119) from the amount due to the Participant for a Job Settlement carried out through the Platform, provided that:
      1. the Job was performed under a contract for specific work (umowa o dzieło); the value of the Job was at least PLN 500 + VAT;
      2. the Job was settled by the last day of the month in which the Participation Fee for the Program is due;
      3. the Job is deemed effectively settled on the date the payment is credited to the Administrator's bank account.
    2. Payment of a VAT invoice for PLN 499 + VAT, issued by the Organizer for the Participation Fee.
    3. Subscription
      1. the Participant can activate and settle the Participation Fee of PLN 499 gross under the subscription model, on the terms described in Article 6 of the Useme Plus Subscription Terms and Conditions.
  3. Under the subscription model, the Subscription Fee is equivalent to the Participation Fee for the Useme Plus Program.
  4. If the Subscription is activated during a calendar month for which the Participation Fee has already been settled under paragraph 2(a) or (b) above, the first recurring charge of the Subscription Fee will take place on the 1st day of the following calendar month. In such a case, activating the Subscription additionally requires an authorization payment, intended to verify the registered Payment Instrument, consisting of a one-time charge of PLN 1, which is then refunded to the Participant's Payment Instrument.
  5. Once the Subscription is successfully activated during the Transition Period, the Participant permanently moves to the subscription billing model and can no longer return to settling the fee as described in paragraph 2(a) or (b) above.
  6. From 1 October 2026, the subscription model becomes the sole and mandatory way of paying for participation in the Useme Plus Program. If a Participant has not activated the Subscription by 30 September 2026, the Agreement for Participation in the Useme Plus Program will expire with effect from 1 October 2026, and access to the Perks and Benefits will be permanently withdrawn, without the need for any further statement from the Organizer.
  7. Regardless of the settlement method chosen, the date on which the full amount of the Fee is credited to the Organizer's bank account is deemed the date of effective settlement of the Participation Fee

Article 8. Perks and Benefits under the Program

  1. Once all the formal requirements for participation in the Program set out in Article 3(4) and the additional condition of participation referred to in Article 4 of these Terms and Conditions have been met, the Organizer grants the Participant access to the following Perks and Benefits:

  Perks:

    1. The ability to issue an unlimited number of invoices through the Useme Platform,

      Benefits:

    2. access to the "MultiSport" service, as part of the services provided by Benefit Systems S.A. and MultiSport Partners;

    3. access to the system for purchasing or ordering services, vouchers, or subscription packages under the "MyBenefit" service provided by Benefit Systems S.A.

  1. In addition to granting the Participant access to the Benefits referred to above, the Organizer, as part of the promotional sale it runs, grants the Participant a reward in the form of points on the MyBenefit platform, with a value of PLN 138.00 (in words: one hundred and thirty-eight zloty). 
  2. The reward is granted as part of the promotional sale run by the Organizer, in connection with the Participant's purchase of the Organizer's own services. The purpose of the promotional sale is to promote, make more attractive, and increase sales of the services provided by the Organizer.
  3. The reward referred to in paragraph 2 above is funded from the Organizer's own resources and is granted solely on condition that the additional condition of participation in the Program, set out in Article 4 of these Terms and Conditions, is met. The Benefits are not granted to Participants in connection with any non-agricultural business activity they carry out, and do not constitute income from that activity.
  4. The Participant can independently decide which services offered by the Benefit provider the funds from the awarded reward should be spent on, although the ability to use the awarded funds only arises once the Participant has activated their account in the Benefit provider's system.
  5. The Participant is aware that using the Benefits through the Benefit providers' online platform may require concluding a separate service agreement with the provider of the specific Benefit.
  6. The Participant is aware that starting to use certain Benefits may require taking additional steps, such as activating and setting up a user account through the Benefit provider's online platform, or ordering a "MultiSport" card directly from the Benefit provider. The Organizer is not liable for any delays in using the Benefits resulting from the need to meet additional requirements or take additional steps on the Participant's part.
  7. The detailed scope and terms of use of individual Benefits can be found in the Benefit providers' terms of service.
  8. The Organizer is not liable for the availability, quality, or scope of the services provided as Benefits by external providers. Liability for the performance of these services rests solely with the Benefit providers, in accordance with the rules set out in their terms of service. This does not apply to obligations arising from the law.
  9. Access to the Benefits may be subject to additional conditions or time-limited. The current range and availability of the Benefits is presented on the Benefit provider's website.
  10. The Organizer reserves the right to change the scope of the Perks and Benefits offered under the Program, in particular in the event of: a. a change in the terms of cooperation with external partners (Benefit providers); b. the end of cooperation with a given partner; c. the introduction of new services or benefits in place of existing ones; d. changes to the terms of the invoice-issuing service provided through the Useme Platform.
  11. The Organizer will inform Participants of any changes referred to in paragraph 11 in accordance with the rules set out in Article 12 of these Terms and Conditions.
  12. The Participant is not entitled to transfer rights to the Perks and Benefits to third parties, except in cases expressly indicated in the terms of service of external providers.
  13. Details regarding when access to the Perks and Benefits begins, and the transfer of the reward under the promotional sale, are set out in Article 9 of these Terms and Conditions and in the Useme Plus Promotional Sale Terms and Conditions.
  14. With respect to the rules for granting, issuing, and settling the Benefits, in the event of any discrepancy between these Terms and Conditions and the Useme Plus Promotional Sale Terms and Conditions, these Terms and Conditions shall prevail.

Article 9. Duration of and Withdrawal from Participation in the Program, and Access to the Perks and Benefits

  1. Participation in the Program is ongoing and lasts from the date confirmation of joining the Program is received (following positive verification that the formal requirements set out in Article 3(4) are met) until the end of the month in which the Participant cancels their participation or the Organizer ends it, subject to Article 10(5) of these Terms and Conditions.
  2. Access to the Perks and Benefits is conditional and is granted only if the Participation Fee is effectively settled in accordance with Article 6 of these Terms and Conditions. In addition, access to the Perks and Benefits is cyclical and lasts:
    1. for the Perks – from the day the Participant effectively settles the Participation Fee, on the terms set out in Article 6 of these Terms and Conditions, until the end of the month in which that access was granted.
    2. for the Benefits – from the 1st day of the month following the month in which the Participation Fee was effectively settled, until the end of the calendar month in which access was obtained.

  3. Access to the Perks and Benefits can be extended for further one-month periods, provided the Participation Fee is effectively settled for the next calendar month.
  4. Rewards under the promotional sale run by the Organizer are granted to Participants once the additional condition of participation in the Program is met, i.e. once the Participation Fee is effectively settled on the terms set out in these Terms and Conditions. As a rule, the funds awarded as rewards will appear in the Participant's account on the Benefit provider's platform on the 1st day of each calendar month following the month in which the reward was granted to the Participant.
  5. Points awarded to Participants as a reward under the promotional sale are valid for a period of 12 (twelve) months, counted from the last day of the calendar month in which they were credited to the user's account on the Benefit provider's platform.
  6. If the Points are not used within the period referred to in paragraph 5, they automatically expire and are removed from the user's account on the Benefit provider's platform, without the right to claim any monetary equivalent or other compensation.
  7. The Organizer will inform the User of the upcoming expiry of the Points at least 30 days in advance, by email to the address linked to the Account or via a notification on the User's Account on the Useme Platform.
  8. If the Participation Fee is not effectively settled in a given month, the Participant will automatically lose access to the Perks and Benefits under the Useme Plus Program at the end of that calendar month. At the same time, if the Participant had an active Useme Plus Subscription, it will also expire at the end of that calendar month, which is equivalent to termination of the subscription agreement.
  9. The Participant has the right to withdraw from participation in the Program at any time. To do so, the Participant must submit an appropriate statement to the Organizer through the Platform or in documentary form, e.g. by email.
  10. Withdrawal from participation in the Program becomes effective at the end of the calendar month in which it is submitted. Exception: if the Participant has already met the additional condition of participation for the given month (i.e. has settled the Participation Fee for the Useme Plus Program). In such a case, withdrawal from the Program, and consequently termination of the Agreement for Participation in the Program, will become effective at the end of the following month.
  11. Withdrawal from participation in the Program is equivalent to loss of access to the Perks and Benefits, as well as termination of the Agreement for Participation in the Program, and, where the Participant has an active Subscription, termination of the Useme Plus subscription agreement.
  12. A Participant who is a consumer (a consumer is also understood to include other entities to whom consumer protection provisions apply under generally applicable law) has the right to withdraw from the Agreement for Participation in the Program within 14 days of its conclusion.
  13. The consumer loses this right if they consent to the commencement of the provision of services before the 14-day period expires and confirm that they understand the consequences of this.
  14. The consumer can give consent to the commencement of the provision of services and to the loss of the right of withdrawal by selecting the relevant option in the online form or by sending an appropriate statement electronically.
  15. Submitting a statement of withdrawal from the Agreement for Participation in the Program is equivalent to withdrawal from the Subscription Agreement and results in the immediate suspension of further automatic recurring payments.
  16. If a statement of withdrawal from the Agreement for Participation in the Program or the Subscription Agreement is submitted after the Participation Fee (Subscription Fee) has been settled, the Participant is entitled to a refund of the fee paid, reduced by the value of the services already provided by the Organizer up to the time the withdrawal statement is received. The Organizer will deduct the value of the services provided from the amount refunded to the Participant's account, to which the Participant consents.

Article 10. Useme Plus Subscription

  1. The Useme Plus Subscription is a model for automatically settling the Participation Fee for the Program. Under this model, funds (the Subscription Fee) are automatically and cyclically collected from the Payment Instrument registered by the Participant, in fixed, one-month Subscription Cycles, until the Participant cancels the Subscription or the Agreement expires.
  2. The Useme Plus Subscription is a digital service, and activating it requires the user to take the following steps:
    1. completing the subscription form in the "Subscriptions" tab in the Useme Platform panel;
    2. reviewing and accepting the summary of the Subscription's terms, and submitting the necessary declarations and consents related to the provision of the digital service and the conclusion of the subscription agreement, including accepting the Useme Plus Subscription Terms and Conditions while completing the subscription form;
    3. registering the Payment Instrument.
  3. The detailed rules governing the operation of the Subscription — including the rules for verifying and authorizing Payment Instruments, the mechanisms for retrying failed payment attempts, and transaction security matters — are set out in the Useme Plus Subscription Terms and Conditions.
  4. The Participant can cancel the Subscription at any time. Cancellation is possible from the User's panel on the Platform, by going to the "Manage subscription" section and selecting "Cancel subscription," or by submitting a statement in documentary form (e.g. by email to info@useme.com).
  5. Cancelling the Subscription results in the immediate suspension of any further planned recurring charges of the Subscription Fee. The Participant retains access to the Perks and Benefits under the Program until the last day of the current, paid Subscription Cycle, after which the Subscription and access to the Perks and Benefits under the Useme Plus Program expire, and the subscription agreement and the Useme Plus participation agreement are terminated.

Article 11. Organizer's Rights and Liability

  1. The Organizer has the right to:
    1. verify whether Participants meet the formal requirements and continue to meet the additional conditions of participation in the Program;
    2. charge the Participation Fee in accordance with the rules set out in these Terms and Conditions and the Useme Plus Subscription Terms and Conditions;
    3. update the conditions of participation and modify the scope of services available under the Program, including the Perks and Benefits. The Organizer must inform Participants accordingly;
    4. temporarily suspend or end the provision of certain Perks or Benefits, in particular if it is unable to provide them for reasons beyond its control (e.g. a change in the terms of cooperation with partners);
    5. pursue damages on general principles if a Participant has breached these Terms and Conditions, and that breach has caused loss to the Organizer or entities cooperating with it.
  2. The Organizer reserves the right to refuse to admit a User to the Program or to grant a Participant access to the Perks and Benefits, without giving a reason, in particular if the User has not met the formal requirements or the additional conditions of participation, or in the event of a breach of the Platform or Program Terms and Conditions.
  3. The Organizer has the right to exclude a Participant from the Program at the end of the calendar month in which the Participant stopped meeting the formal requirements for participation in the Program. Exclusion from the Program is equivalent to loss of access to the Perks and Benefits.
  4. The Organizer has the right to exclude a Participant from the Program at the end of the calendar month in which the Participant breached these Terms and Conditions, the Useme Terms and Conditions, or applicable law. Exclusion from the Program is equivalent to loss of access to the Perks and Benefits.
  5. The Organizer has the right to exclude a Participant from the Program with immediate effect, after first informing the User electronically, if:
    1. the Participant has seriously breached these Terms and Conditions, the Useme Terms and Conditions, or applicable law;
    2. the Participant has seriously breached the rules of cooperation or has taken action that could harm the interests or reputation of the Organizer or its partners.

       In such cases, the Participant is not entitled to a refund of fees paid. Exclusion from the Program is equivalent to loss of access to the Perks and Benefits.
  6. The Organizer has the right to change and modify part or all of the Program, including the amount of the Participation Fee, the terms of use of the services and benefits, and the rules of participation in the Program. When introducing such changes, the Organizer must observe the time limits and rules set out in Article 12 of these Terms and Conditions.
  7. The Organizer has the right to decide to end the Program in its entirety. In such a case, the Organizer will inform Participants at least 14 days in advance. The Program will end at the end of the calendar month in which this period expires. Ending the Program is equivalent to loss of access to the Perks and Benefits.
  8. The time limit referred to in paragraph 7 above does not apply where the need to end the Program results from applicable law, a decision of a competent public administrative authority, a court ruling, or other circumstances beyond the Organizer's control that prevent the Program from continuing.
  9. The Organizer confirms the end of participation in the Program through the Platform or electronically (email).
  10. Before activating the Subscription and charging the first Subscription Fee, the Organizer undertakes to inform the Program Participant, through these Terms and Conditions or the Subscription panel available on the Platform, of:
    1. the amount of the Subscription Fee,
    2. the start date of the subscription,
    3. the date the next Subscription Fee will be charged,
    4. the option to cancel,
    5. any need to make an authorization payment.


  11. The Organizer is not liable for the inability to use the Program or the Benefits for reasons attributable to the Participant, including resulting from:
    1. failure to make timely payment;
    2. failure to meet the conditions required to extend participation;
    3. providing false or outdated data;
    4. technical limitations on the Participant's part.

  12. The Organizer is not liable for damage arising from force majeure, failures of IT systems beyond the Organizer's control, technical interruptions, or interference by third parties, provided these do not result from the Organizer's willful misconduct.

  13. The Organizer is not liable for delays in making the Benefits available or activating them due to reasons attributable to external service providers (including Benefit Systems S.A.), including technical interruptions, failures of external providers' IT systems, or delays in processing requests by these entities.

  14. Short-term interruptions in access to the Benefits, or delays in granting them, resulting from planned maintenance work or updates to the IT systems of the Organizer or the Benefit providers, do not constitute improper performance of the agreement by the Organizer.

Article 12. Changes to the Terms and Conditions and Conditions of Participation

  1. The Organizer reserves the right to change these Terms and Conditions and the conditions of participation, in whole or in part. These changes may relate in particular to the rules of participation in the Program, the conditions for accessing the Perks and Benefits, their scope, and the amount of the services granted as Benefits.
  2. The Organizer will inform Participants of any change to these Terms and Conditions and the conditions of participation at least 14 days before the changes take effect. The Organizer ensures that Participants can review the content of the changes by:
    1. publishing the amended Terms and Conditions on the Platform's website (in the form of a landing page), and
    2. sending information about the change to these Terms and Conditions and the conditions of participation to the email address linked to the Participant's account, if such an address has been provided.
  3. Changes to these Terms and Conditions and the conditions of participation take effect upon expiry of the period indicated by the Organizer. This period may not be shorter than 14 days from the date Participants are informed. The exception is the situation described in paragraph 4 below.

  4. The Organizer may introduce a change to these Terms and Conditions and the conditions of participation within a period shorter than that set out in paragraph 3, if the change results from mandatory provisions of law or a ruling of a competent administrative authority.

  5. A Participant who does not accept the changes introduced has the right to withdraw from participation in the Program at any time before the changes take effect. The rules for withdrawing from the Program are set out in Article 9 of these Terms and Conditions.

  6. A Participant who does not withdraw from the Program before the changes take effect, or who continues to use the Program after that date, automatically accepts the changes introduced to these Terms and Conditions and the conditions of participation.

Article 13. Personal Data

  1. Participation in the Program involves the processing of the Participant's personal data by the Organizer, i.e. Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, entered under Tax Identification Number (NIP): 8992744965, registered in the Register of Entrepreneurs maintained by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register under KRS number: 0000467478; email address: info@useme.com.
  2. The Organizer processes Participants' Personal Data in accordance with applicable law, including Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 ("GDPR"), for the purposes of:
    1. accepting and verifying applications to join the Program, in particular in terms of meeting the formal requirements;
    2. verifying that the formal requirements continue to be met during participation, and the additional conditions of participation, in order to gain access to the Perks and Benefits;
    3. carrying out accounting and tax settlements;
    4. transferring basic personal data necessary to register the Participant with the Benefit providers, once the additional conditions of participation have been met;
    5. handling applications, inquiries, and information received from Participants in connection with their participation in the Program;
    6. handling complaints and disputes arising from participation in the Program and the conclusion of the Agreement for Participation in the Program;
    7. securing and pursuing any potential claims.
  3. The rules and purposes of processing personal data in connection with activating the Subscription are set out in the Useme Plus Subscription Terms and Conditions and the Useme Privacy Policy.
  4. Providing personal data is voluntary but necessary to participate in the Program, including to gain access to the Perks and Benefits.
  5. In order to provide the basic services under the Benefits, the Organizer will transfer to the Benefit provider (Benefit Systems S.A.) personal data, including the Participant's first name, last name, username on the Useme Platform, and email address.
  6. The transfer of the personal data referred to in paragraph 5 above is necessary to create an account and for the Participant's first login on the Benefit provider's online platform.
  7. Every Participant has the right to access their data, to rectify it, to have it erased, to restrict its processing, to data portability, to object to processing, and to lodge a complaint with the President of the Personal Data Protection Office.
  8. Detailed information on Useme's processing of Users' and Visitors' Personal Data, including information on data subjects' rights, is available in the Privacy Policy.

Article 14. Complaints

  1. Participants have the right to submit complaints regarding the operation of the Program and the provision of the services set out in these Terms and Conditions.
  2. Participants may submit complaints to the Organizer regarding the operation of the Program, including the calculation and settlement of participation fees and the provision of the Perks and Benefits. Complaints must be submitted in accordance with the procedure described in these Terms and Conditions.
  3. Participants should submit complaints about the provision of Benefits by external providers under the Program directly to those providers, in accordance with the rules set by the given provider. The Organizer is not liable for how partners provide services or deliver goods, unless such liability arises from mandatory provisions of law.
  4. A complaint regarding the operation of the Program may be submitted in writing to the Organizer's registered office address, or electronically to: info@useme.com.
  5. A complaint should include the Participant's details for identification purposes, a description of the event giving rise to the complaint, and the request being made.
  6. The Organizer has 14 days from the date of receipt to process the complaint. The Participant will be informed of the Organizer's decision in the form corresponding to the form in which the complaint was submitted, unless they indicate a different preferred form of contact.
  7. If the Participant needs to provide additional information, the time limit for processing the complaint will be extended accordingly. The Participant will be informed of this.

Article 15. Out-of-Court Complaint Handling and Claims, and How to Access These Procedures

  1. Using out-of-court methods to handle complaints and pursue claims is voluntary. This Article is provided for informational purposes. The Participant is not obliged to use out-of-court dispute resolution.
  2. The rules for conducting out-of-court consumer dispute resolution and the obligations of businesses in this regard are set out in the Polish Act of 23 September 2016 on Out-of-Court Consumer Dispute Resolution. The President of the Office of Competition and Consumer Protection (UOKiK) maintains a public register of entities authorized to conduct such proceedings.
  3. A Participant who is a consumer may, in particular:
    1. apply to a permanent consumer arbitration court, referred to in Article 37 of the Act of 15 December 2000 on Trade Inspection, for resolution of a dispute arising from the concluded Agreement for Participation in the Program. The rules of organization and operation of these courts are set out in the Regulation of the Minister of Justice of 6 July 2017 on the organization and operation of permanent arbitration courts at the provincial trade inspectorates;
    2. apply to the provincial Trade Inspection inspector for the initiation of out-of-court consumer dispute resolution, under Article 36 of the same Act. Detailed information on this procedure is available at the offices and websites of the respective Provincial Trade Inspectorates;
    3. seek free assistance from a district (municipal) consumer ombudsman or a consumer organization such as the Consumer Federation or the Polish Consumers Association. Information from the Consumer Federation is available at: http://www.federacja-konsumentow.org.pl, or via the UOKiK consumer helpline: 801 440 220 / 22 290 89 16.
  4. Article 16. Technical Requirements

  1. For the Administrator to provide its services, the User must have a tele-information system meeting the following minimum technical requirements:
  1. access to the Internet;
  2. a device for entering and reading electronic data;
  3. software that allows reading files in various formats including PDF, RTF, TXT, DOC, Java, JPEG, and AVI;
  4. a web browser: Internet Explorer version 11.0 or later with JavaScript and cookies enabled; Mozilla Firefox version 57.0 or later with JavaScript and cookies enabled; or Google Chrome version 62.0 or later.

Article 17. Final Provisions

  1. Polish law applies to these Terms and Conditions and to the legal relationships arising from participation in the Program.
  2. Any disputes arising from the application of these Terms and Conditions will be resolved by the competent common court, in accordance with the Polish Code of Civil Procedure.
  3. If any provision of these Terms and Conditions is found to be invalid or ineffective, this does not affect the validity or effectiveness of the remaining provisions. The invalid or ineffective provision will be replaced by generally applicable provisions of law.
  4. These Terms and Conditions take effect on the date they are published on the Useme Platform website and remain in force for the duration of the Program, unless the Organizer decides otherwise.
  5. In the event of any discrepancies between the language versions of the Terms and Conditions, the Polish language version of the Terms and Conditions shall prevail in interpretation and in the resolution of any potential disputes.
