Article 1. Definitions
- Capitalized terms, unless defined otherwise in this document, shall have the meaning given to them in the Useme Plus Program Terms and Conditions and the Useme Terms and Conditions.
- Organizer / Useme – Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, entered under Tax Identification Number (NIP): 8992744965, registered in the Register of Entrepreneurs maintained by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register under KRS number: 0000467478; email address: info@useme.com;
- Useme Plus Subscription / Subscription – the recurring remuneration due to the Organizer for participation in the Useme Plus Program. The term "Subscription Fee" means the Fee for Participation in the Useme Plus Program, settled under a model of automatic recurring (subscription) payments on the terms set out in these Terms and Conditions.
- Subscription Fee / Fee for Participation in the Useme Plus Program – the fee for participation in the Useme Plus Program, charged using a registered Payment Instrument.
- Payment Instrument – a payment card (debit or credit) that supports recurring payments, or the BLIK service in a recurring payment model, linked to the Participant's Account through a Payment Provider.
- Payment Provider – Autopay S.A., with its registered office in Sopot (ul. Powstańców Warszawy 6, 81-718 Sopot), entered in the register of national payment institutions maintained by the Polish Financial Supervision Authority (KNF) under number IP17/2013.
- Subscription Cycle – a one-month billing period for which the Participation Fee is charged.
- Perks and Benefits – the benefits offered to Useme Plus Program Participants, as determined by the Organizer.
- Participant – a registered User of the Useme Platform who is a Participant in the Useme Plus Program within the meaning of the Useme Plus Program Terms and Conditions.
Article 2. Subscription Activation and Payment Methods
- The Subscription can be activated once the User has been positively verified and accepted into the Useme Plus Program.
- To activate the Useme Plus Subscription, the Participant goes to the dedicated "Subscriptions" tab in the Useme Platform panel and then:
- completes the subscription form;
- reviews and accepts the summary of terms (the subscription start date, the amount of the first fee, the dates on which subsequent fees will be charged, declarations and consents, and any other required elements);
- is redirected to the Payment Provider's secure API interface, where the Payment Instrument is registered (by entering card details or authorizing recurring BLIK).
- The Subscription is activated on the date the Subscription Fee is successfully settled (charged), on the terms set out in Article 3(5) of these Subscription Terms and Conditions.
- Upon successful activation, the Participant receives a confirmation email regarding activation of the Subscription and access to the Perks and Benefits, on the terms set out in the Useme Plus Program Terms and Conditions.
- Payment Instrument data is stored and processed by the Payment Provider in a secure manner, in compliance with PCI-DSS standards. The Useme Platform stores only the tokenized payment identifier provided by the Payment Provider, which the Participant accepts.
- Upon successful activation, the Participant receives a confirmation email regarding activation of the Subscription and access to the Perks and Benefits, on the terms set out in the Useme Plus Program Terms and Conditions.
- Payment Instrument data is stored and processed by the Payment Provider in a secure manner, in compliance with PCI-DSS standards. The Useme Platform stores only the tokenized payment identifier provided by the Payment Provider, which the Participant accepts.
Article 3. Subscription Term and Fee Collection
- The Subscription is concluded for an indefinite period and renews automatically for successive one-month Subscription Cycles.
- Subject to Article 6(3) of these Terms and Conditions regarding the Transition Period, the Subscription Fee for the first Subscription Cycle is charged when the Payment Instrument is registered. Fees for subsequent Subscription Cycles are charged automatically at the start of each following Cycle.
- The Subscription Fee is charged on the same day of each month as the first payment, except where:
- the given month is shorter and does not have that day (e.g. the 29th, 30th, or 31st). In such a case, the fee will be charged on the last day of that month (e.g. a Subscription activated on 31 March will renew automatically on 30 April).
- the first attempt to charge the Subscription Fee has failed. In such a case, further attempts will be made on the terms set out in Article 4 of these Terms and Conditions.The Subscription Fee is charged on the same day of each month as the first payment, except where:
- Payment for each Subscription Cycle is documented with a VAT invoice issued by the Useme Plus Program Organizer and delivered to the Participant via the National System of e-Invoices (KSeF), unless the law provides otherwise.
- The date on which the payment is credited to Useme's bank account is deemed the date of effective settlement of the Participation Fee for the next Subscription Cycle. Subscription payments are not retroactive: they do not recalculate or modify the costs or commissions of pro forma invoices issued on the Platform prior to the Subscription Fee being credited to Useme's bank account.
Article 4. Subscription Fee Collection Errors and Subscription Expiry
- If the Subscription Fee cannot be charged on the scheduled day (e.g. due to insufficient funds, an expired card, or the transaction being declined by the bank), the Subscription is suspended immediately upon the first failed attempt.
- During the suspension period, the Participant loses access to the Useme Plus Program's Perks and Benefits. Fees and commissions for any activity on the Useme Platform during this period are charged under the standard terms, in line with the Useme Platform's general Pricing for users without an active Useme Plus Subscription.
- To resolve the payment error and keep the Subscription running, the Organizer will make 2 (two) further charge attempts within 48 hours of the first attempt. In addition, at the Participant's request, Useme can manually trigger a charge attempt against the Payment Instrument within 48 hours of the first failed attempt for a given Subscription Cycle.
- If any subsequent attempt (automatic or manual) succeeds, the Subscription is automatically reactivated for the duration of the next Subscription Cycle, counted from the date of the first charge attempt (e.g. a Subscription activated on 31 March, the charge for the next Cycle is attempted on 30 April and fails. A further attempt on 1 May succeeds – the Subscription is reactivated as of 1 May. Payment for the next Cycle will be automatically charged on 31 May).
- If, within 48 hours of the first failed attempt, none of the Organizer's further attempts to charge the Fee succeed, the Subscription expires at the end of the last paid Subscription Cycle. Expiry of the Subscription due to non-payment is equivalent to termination of the Subscription Agreement and results in loss of access to the Perks and Benefits. Expiry of the Subscription does not automatically terminate the agreement for Participation in the Useme Plus Program.
- If the Participant removes the registered Payment Instrument from the subscription management section without setting up a new one at the same time, the Subscription expires at the end of the paid Subscription Cycle.
- The Participant acknowledges that if the Subscription Fee cannot be charged, including through the fault of Useme or the Payment Provider, access to the Perks and Benefits may be delayed.
Article 5. Subscription Cancellation and Right of Withdrawal
- The Participant may cancel the Subscription at any time, from the user panel, by going to "Manage subscription" and selecting "Cancel subscription."
- After cancelling, the Participant retains access to the Perks and Benefits until the end of the paid Subscription Cycle. After that, the Subscription and access to the Perks and Benefits expire, which is equivalent to termination of the Subscription Agreement and the Agreement for Participation in the Useme Plus Program.
- The Subscription is a separate agreement for the provision of digital services. A Participant who meets the definition of a consumer under Article 22 of the Polish Civil Code has the right to withdraw from the Subscription Agreement without giving a reason within 14 days of its conclusion, i.e. from the date the Subscription is activated.
- Withdrawal from the Subscription Agreement takes immediate effect: it ends the Agreement for Participation in the Useme Plus Program and suspends further automatic charges to the Payment Instrument.
- Because the services provided under the Useme Plus Program and the Subscription begin immediately once the Participation Fee is settled, a Participant who withdraws after the Subscription Fee for a given Cycle has been charged may request a refund of the Participation Fee, reduced by the value of the services already provided by the Organizer up to the point the withdrawal notice was received, in accordance with the rules set out in the Useme Plus Program Terms and Conditions.
Article 6. Transition Period
- To allow existing and new Participants to move smoothly to the new billing model, the Organizer is introducing a Transition Period running from 31 August to 30 September 2026.
- During the Transition Period, activating the Subscription is voluntary for both existing and newly registering Useme Plus Program Participants.
- If a Participant who already has paid Participation under the previous terms activates the Subscription during the Transition Period, the first subscription fee will not be charged immediately. It will only be charged on the 1st day of the month following the month in which the Participant's previously paid Participation expires (so payments do not overlap).
- Once the Subscription is activated during the Transition Period, the Participant can no longer switch back to the previous payment methods for the Program.
- End of the Transition Period: from 1 October, the subscription model becomes the sole and mandatory way of paying for Participation in the Useme Plus Program.
- If a Participant has not activated the Subscription in line with the procedure described in these Terms and Conditions by 1 October, their Subscription will not be launched, entitling the Organizer to terminate the Agreement for Participation in the Useme Plus Program with effect from 1 October.
- In addition to the requirements set out in Article 2 of these Terms and Conditions, activating the Subscription during the Transition Period requires an authorization payment. This consists of a one-time charge of PLN 1, which is then refunded to the Participant's Payment Instrument. The purpose of the authorization is to verify the Payment Instrument ahead of the first Subscription Fee being charged on the 1st day of the first Subscription Cycle.
Article 7. Payment Processing
- Recurring payments are processed by an external, licensed Payment Provider, Autopay S.A., with its registered office in Sopot (ul. Powstańców Warszawy 6, 81-718 Sopot), entered in the register of national payment institutions maintained by the KNF under number IP17/2013.
- For the purpose of processing recurring payments, upon the first subscription transaction (or upon saving a payment method), a recurring payment is activated with the Payment Processor:
- In the case of card payments – the User enters their card details on the Payment Processor’s secure webpage, after which the Processor creates a reference to the saved card (a recurring payment identifier), while Useme receives only masked preview card data.
- In the case of BLIK payments – the User authorizes the recurring BLIK payment via the Payment Processor (e.g., using a BLIK code or via authorization in their banking app), and Useme receives a recurring payment identifier alongside a bank app label used to identify the payment method.
- Useme does not collect, process, or store full payment card numbers or verification codes (CVV/CVC) within its IT infrastructure. All sensitive payment card data is entered directly on the Payment Processor’s secure webpage.
- In its databases, Useme stores only the necessary technical identifiers (an encrypted recurring payment identifier assigned by the Payment Processor) and masked, limited preview data of the payment method (including the last digits of the card, payment network, card expiration date, and in the case of BLIK, the bank app label) used to identify the defined payment method, as well as essential transaction data (including the amount, currency, payment status, order identifier, and the email address provided during payment). Full payment data is processed by the Payment Processor in accordance with its terms of service and privacy policy.
- Removing a defined Payment Instrument (card/BLIK) from the user's profile, or cancelling the Subscription, deactivates the payment token and prevents further recurring charges; this does not affect the obligation to retain transaction records under tax law.
Article 8. Personal Data
- The controller of personal data processed in connection with the conclusion and performance of the Subscription Agreement is Useme sp. z o.o., with its registered office in Wrocław, at ul. Świdnicka 12-16, 50-068 Wrocław.
- Personal data such as first name, last name, address, and email address will be processed by Useme to conclude and perform the Subscription Agreement, including, among other things, charging Subscription Fees, transferring data to the Payment Provider, managing the Subscription, issuing invoices to the Participant, establishing or defending against potential claims, and performing obligations under applicable law, including tax regulations.
- Providing personal data is voluntary, but is a necessary condition for concluding and performing the Subscription Agreement.
- In connection with Subscription activation, Useme transfers Participants' personal data to the Payment Provider for the purpose of performing the Subscription Agreement.
- The Payment Provider acts as an independent controller of personal data with respect to the payment services it provides.
- Removing a defined Payment Instrument from the user's profile, or cancelling the Subscription, does not affect the obligation to retain transaction records under tax law.
- Every Participant has the right to access their data, to have it rectified, erased, or its processing restricted, to data portability, to object to processing, and to lodge a complaint with the President of the Personal Data Protection Office.
- Detailed information on the rules for processing personal data, the Participant's rights, data retention periods, and the technical and organizational measures applied in connection with the Subscription Agreement can be found in the Useme Privacy Policy.
Article 9. Complaints
- Participants have the right to submit complaints about the operation of the Useme Plus Subscription.
- Complaints regarding the Useme Plus Subscription may be submitted to the Organizer in accordance with the procedure described in these Terms and Conditions.
- Complaints about services provided by business partners as part of the Useme Plus Subscription should be submitted directly to those partners, in line with the rules set by the partner in question. The Organizer is not liable for how partners provide services or deliver goods, unless such liability arises from mandatory provisions of law.
- A complaint may be submitted in writing to the Organizer's registered office address, or electronically to: info@useme.com.
- A complaint should include the Participant's details for identification purposes, a description of the event giving rise to the complaint, and the request being made.
- The Organizer will review the complaint within 14 days of receiving it. The Participant will be informed of the Organizer's decision in the same form the complaint was submitted in, unless they indicate a different preferred form of contact.
- If the Participant needs to provide additional information, the time limit for reviewing the complaint will be extended accordingly, and the Participant will be informed of this.
Article 10. Out-of-Court Complaint Handling and Claims, and How to Access These Procedures
- Using out-of-court methods to handle complaints and pursue claims is voluntary. This Article is for informational purposes only and does not oblige the Participant to use out-of-court dispute resolution.
- The rules for conducting out-of-court consumer dispute resolution and the obligations of businesses in this regard are set out in the Polish Act of 23 September 2016 on Out-of-Court Consumer Dispute Resolution. The President of the Office of Competition and Consumer Protection (UOKiK) maintains a public register of entities authorized to conduct such proceedings.
- A Participant who is a consumer may, in particular:
- apply to a permanent consumer arbitration court, under Article 37 of the Polish Act of 15 December 2000 on Trade Inspection, for resolution of a dispute arising from a concluded service agreement. The rules of organization and operation of these courts are set out in the Regulation of the Minister of Justice of 6 July 2017 on the organization and operation of permanent arbitration courts at the provincial trade inspectorates.
- request the initiation of out-of-court consumer dispute resolution from the provincial Trade Inspection inspector, under Article 36 of the above-mentioned Act. Details of the procedure are available at the offices and websites of the respective Provincial Trade Inspectorates.
- seek free assistance from a district (municipal) consumer ombudsman or from a consumer organization such as the Consumer Federation or the Polish Consumers Association. Information from the Consumer Federation is available at: http://www.federacja-konsumentow.org.pl, or via the UOKiK consumer helpline: 801 440 220 / 22 290 89 16.

Article 11. Technical Requirements
Use of the Provider's services requires the Participant to have a tele-information system meeting the following minimum technical requirements:
- access to the Internet;
- a device for entering and reading electronic data;
- software that allows reading files in formats including PDF, RTF, TXT, DOC, Java, JPEG, and AVI;
- a web browser: Internet Explorer version 11.0 or later with JavaScript and cookies enabled; Mozilla Firefox version 57.0 or later with JavaScript and cookies enabled; or Google Chrome version 62.0 or later.
Article 12. Final Provisions
- These Terms and Conditions govern the detailed rules and technical mechanisms for providing the automatic recurring payment (Subscription) service. Matters concerning the rules of participation in the Useme Plus Program itself, formal requirements, and entitlement to the Perks and Benefits are governed by the Useme Plus Program Terms and Conditions. In the event of any substantive discrepancy regarding the Program, the Useme Plus Program Terms and Conditions shall prevail.
- Polish law applies to these Terms and Conditions and to the legal relationships arising from participation in the Useme Plus Subscription.
- Any disputes arising from the application of these Terms and Conditions will be resolved by the competent common court, in accordance with the Polish Code of Civil Procedure.
- If any provision of these Terms and Conditions is found invalid or ineffective, this does not affect the validity or effectiveness of the remaining provisions. The invalid or ineffective provision will be replaced by generally applicable provisions of law.
- These Terms and Conditions take effect on the date they are published on the Useme Platform website and remain in force for the duration of the Program, unless the Organizer decides otherwise.
- In the event of any discrepancies between the language versions of the Terms and Conditions, the Polish language version of the Terms and Conditions shall prevail in interpretation and in the resolution of any potential disputes.
