Article 1. Definitions

The terms used in these terms and conditions ("Terms and Conditions") have the following meanings:

  1. Useme – Useme sp. z o.o., with its registered office at ul. Świdnicka 12-16, 50-068 Wrocław, Tax ID (NIP): 8992744965, entered in the Register of Entrepreneurs kept by the District Court for Wrocław-Fabryczna, 6th Commercial Division of the National Court Register (KRS), under number: 0000467478; e-mail: info@useme.com.
  2. Promotional Sale – an initiative organized and run under the rules set out in these Terms and Conditions, aimed at promoting, enhancing the appeal of, and increasing sales of Useme's services under the Useme Club Program.
  3. Useme Platform / Platform – an open online transaction platform operated by the Administrator, enabling the publication of Job Posts, the conclusion and settlement of Agreements for Jobs carried out through the Platform, communication between the parties to a transaction, and use of the other electronic services referred to in these Terms and Conditions. The Platform is available at Useme.com.
  4. Useme Club Program Participant / Program Participant – a User of the Useme Platform (within the meaning of the Useme Terms and Conditions) who meets the Basic Participation Conditions set out in the Useme Club Program Terms and Conditions, which form Appendix No. 2 to the Useme Terms and Conditions.
  5. Participation in the Useme Club Program / Program Participation – a User's standing within the Useme Club Program, granted automatically once the requirements set out in the relevant Terms and Conditions are met, determining the Participant's access to the benefits and functionalities set out in the Useme Club Program Terms and Conditions. Participation Status is divided into:
    1. Basic Status – entitling the holder to access the basic benefits (Materials);
    2. Additional Status – entitling the holder to access the additional benefits (Benefits) and to be awarded a reward under the Useme Club Promotional Sale conducted by Useme.
  6. Basic Participation Conditions – the criteria which, once met, result in a Participant automatically being granted Basic Participation Status in the Program.
  7. Additional Participation Conditions – the criteria which, once met, entitle a Participant with Basic Status to obtain Additional Participation Status in the Program.
  8. Useme Flex – the commission-based settlement model for Users on the Useme Platform.
  9. Useme Commission / Commission – the remuneration calculated and collected by the Organizer for settling a Job through the Platform, as defined in the Useme Club Program Terms and Conditions.
  10. Reward – an additional benefit in the form of points on the MyBenefit platform, awarded to a Useme Club Program Participant holding Additional Status, in connection with the purchase of the commission-based (Useme Flex) job-settlement service provided by Useme, where the Useme Commission is at least PLN 100. The amount of the Reward granted depends on the amount of Commission paid and is determined on the terms set out in these Terms and Conditions.
  11. Useme Terms and Conditions – the general terms and conditions setting out the rules under which Useme provides paid electronic services to Users. Useme's services consist of connecting Users (Employers and Freelancers) and settling transactions between them. They also set out the rules for using the Useme Platform and for providing other additional services. Available at https://help.useme.com/en/useme-terms-and-conditions.

Article 2. General Provisions

  1. These Terms and Conditions set out the rules and conditions of the Promotional Sale run under the Useme Club Program provided by Useme, under which Rewards are granted to Participants who meet the conditions set out in these Terms and Conditions.
  2. The Promotional Sale is run in the territory of the Republic of Poland through the Useme Platform.
  3. The purpose of the Promotional Sale is to promote, enhance the appeal of, and increase sales of the services provided by Useme to Useme Club Program Participants who settle on the commission-based model (Useme Flex).
  4. Rewards granted to Participants are funded from Useme's own resources.
  5. Rewards constitute rewards associated with the promotional sale of services provided by Useme.
  6. Useme does not grant Participants Rewards in connection with any non-agricultural business activity they carry out that would constitute income from that activity.
  7. The granting of a Reward (points in the MyBenefit system) takes place as part of the Promotional Sale organized by Useme and is directly related to the purchase of Useme's own paid services provided as part of Useme's core business. The value of the Reward granted to a Participant in a given month does not exceed the amount specified in Article 21(1)(68) of the Polish Act of 26 July 1991 on Personal Income Tax, and therefore constitutes income exempt from personal income tax for the Participant.

Article 3. Rules for Granting Rewards

  1. Useme Club Program Participants who have met the Additional Participation Condition for the Useme Club Program (in accordance with the rules set out in the Useme Club Terms and Conditions) may take part in the Promotional Sale, specifically:
    1. by exceeding the required Useme Commission threshold of PLN 100 in a given month (or the equivalent, for agreements settled in foreign currencies).
  2. Each time the condition in paragraph 1 above is met, this is the basis for granting a Reward in the form of points on the MyBenefit platform.
  3. The amount of the Reward under the Promotional Sale depends on the total Useme Commission accrued from acceptance of the Work under Jobs completed through the Platform in a given calendar month, and is:
    1. 10 points on the MyBenefit platform, where the total Useme Commission in the given month was from PLN 100.00 to PLN 199.99;
    2. 15 points on the MyBenefit platform, where the total was from PLN 200.00 to PLN 299.99;
    3. 20 points on the MyBenefit platform, where the total was PLN 300.00 or more.
  4. Details on when access to the benefits actually begins, and how long it lasts, are set out in the Useme Club Program Terms and Conditions.
  5. The funds referred to in paragraph 3 above will appear in the Participant's account on the "MyBenefit" platform on the 1st day of the month following the month in which the Program Participant met the Additional Participation Condition entitling them to the Reward.
  6. A Program Participant may decide independently which of the benefit provider's services the awarded funds are used for.
  7. The Program Participant acknowledges that using the funds awarded as part of the Reward via a benefit provider's online platform may require entering into a separate service agreement with that provider.
  8. The Program Participant acknowledges that using the Reward may require additional steps, such as activating and setting up a user account through a benefit provider's online platform, or ordering a "MultiSport" card directly from the benefit provider. Useme is not liable for any delays in the ability to use the funds awarded as part of the Reward resulting from the need to meet additional conditions or take additional steps on the Program Participant's part.
  9. The detailed scope and terms of use of individual benefits are set out in the benefit providers' own terms and conditions.
  10. Useme is not liable for the availability, quality, or scope of services provided in connection with the use of a Reward by external providers. Liability for these services rests solely with the benefit providers, under their own terms of service, except for obligations arising from law.
  11. Access to the benefits may be subject to additional conditions or may be time-limited. The current range and availability of benefits is presented on the benefit provider's website.
  12. Useme reserves the right to change the form and amount of the Reward, as well as the scope of benefits offered under the Promotional Sale, in particular where:
    1. the terms of cooperation with external partners (benefit providers) change;
    2. cooperation with a given partner (benefit provider) ends;
    3. new benefits are introduced in place of existing ones;
    4. the terms of service under the commission-based model (Useme Flex) change, or the terms of the Useme Club Program change.
  13. Useme will inform Program Participants of any changes to these Terms and Conditions in accordance with the rules set out in the Useme Terms and Conditions.
  14. The Program Participant may not transfer rights to the Rewards to third parties, except in cases expressly indicated in the terms and conditions of external providers.
  15. The Program Participant is not entitled to demand that a Reward be exchanged for a monetary equivalent.
  16. The right to receive a Reward arises each time the Additional Participation Condition in the Program referred to in Article 3(1) is met, in the amount resulting from Article 3(3) of these Terms and Conditions and based on the general rules for settling and accepting Jobs through the Platform set out in the Useme Terms and Conditions, including the Useme Club Program Terms and Conditions.

Article 4. Final Provisions

  1. The provisions of these Terms and Conditions supplement Appendix No. 2 to the Useme Terms and Conditions, and therefore the Useme Terms and Conditions themselves. In the event of any discrepancy or conflict, the provisions of the Useme Club Program Terms and Conditions (Appendix No. 2 to the Useme Terms and Conditions) prevail.
  2. In matters not regulated by these Terms and Conditions, the provisions of the Useme Club Program Terms and Conditions and the other provisions of the Useme Terms and Conditions apply directly.
